AltoSale Creator Partner Agreement
Version 1.0
Effective date: 7 September 2026
This Creator Partner Agreement ("Agreement") governs participation in the AltoSale Creator Partner Programme ("Programme").
The Agreement is between AltoSale Ltd. (company number 17306376), a company registered in England and Wales, whose registered office is at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, UK ("AltoSale", "we", "us" or "our") and the person or organisation accepted into the Programme ("Creator Partner", "you" or "your").
By submitting an application and affirmatively accepting this Agreement, you confirm that you have read and agree to these terms. Submission of an application does not itself constitute acceptance into the Programme.
1. Eligibility and application
You must provide complete and accurate information when applying to the Programme.
You must have the legal capacity and authority necessary to enter into this Agreement. If you apply on behalf of a company or other organisation, you confirm that you are authorised to bind that organisation.
AltoSale may review information supplied in an application and may request reasonable additional information necessary to assess an application or administer the Programme.
Participation is subject to approval by AltoSale. Creating an AltoSale account or submitting a Creator Partner application does not guarantee approval.
2. Approval and Creator Partner account
If approved, AltoSale will activate Creator Partner functionality for your account and may provide you with a unique referral link, referral code and access to the Creator Partner dashboard.
Your Creator Partner account is personal to you or the approved organisation and must not be transferred, sold or assigned to another person without AltoSale's written approval.
You are responsible for maintaining the security of your AltoSale account and referral credentials.
3. Referral attribution
A referred seller must use a valid Creator Partner referral link, attribution token or referral code during the applicable registration process for the referral to be attributed to you.
Attribution is subject to AltoSale's technical records and anti-fraud controls.
Creator Partner attribution is intended to be assigned once to an eligible seller account and may not be changed merely to obtain a different commission outcome.
AltoSale may correct attribution where there is clear evidence of a technical error, fraud, abuse or incorrect attribution.
Clicking a referral link alone does not create an entitlement to commission.
4. Qualifying referrals
A qualifying referral must be a genuine, independent seller who satisfies AltoSale's account requirements and purchases an eligible paid AltoSale subscription.
A referral may be excluded where it involves:
- self-referral;
- duplicate or artificial accounts;
- fraudulent or misleading information;
- payment fraud;
- coordinated attempts to manufacture commissions;
- prohibited activity;
- abuse of promotions or free subscriptions;
- transactions that are refunded, reversed, disputed or charged back, to the extent provided in this Agreement.
5. Commission
Your applicable commission percentage, commission duration and any special Creator Partner benefits are the terms assigned to your Creator Partner account.
Where applicable, those terms will be displayed in your dashboard or otherwise communicated to you by AltoSale.
Commission is calculated using the eligible subscription amount recorded by AltoSale for a qualifying payment, multiplied by the commission percentage assigned to your Creator Partner account. The eligible amount and treatment of taxes, discounts, credits, refunds or similar adjustments will be determined in accordance with the Programme rules and the transaction records maintained by AltoSale.
The applicable commission percentage and commission period are displayed or assigned to your Creator Partner account.
No commission is earned merely because a person clicks a referral link, registers for a free account or receives a free/promotional subscription.
6. Commission period
Unless different terms are expressly assigned to your Creator Partner account, a commission eligibility period may apply to each referred seller.
Where a commission period is specified, the period begins from that referred seller's first successful qualifying paid subscription payment, not merely from registration.
The applicable commission percentage and commission duration may be recorded against the referral when the referred seller first becomes a qualifying paying customer.
Transactions occurring outside the applicable commission period do not generate additional commission.
7. Annual and multi-period subscriptions
Unless AltoSale expressly states otherwise for a particular Programme offer, commission eligibility is determined based on a qualifying transaction successfully collected during the applicable commission period.
AltoSale may specify additional rules for annual, prepaid or other multi-period subscriptions in the Programme information presented to the Creator Partner.
8. Commission status and holding period
Commissions may pass through statuses including Pending, Available or Approved, Reserved or Processing, Paid, Cancelled, Reversed or equivalent statuses used by AltoSale.
AltoSale may apply a reasonable holding period before commission becomes available for payout. The applicable holding period may be displayed in your Creator Partner account.
The holding period allows AltoSale to account for payment settlement, refunds, disputes, chargebacks, fraud checks and other legitimate payment risks.
A pending commission is not yet available for withdrawal.
9. Refunds, reversals, disputes and chargebacks
If a qualifying payment is refunded in full or in part, reversed, disputed or charged back, AltoSale may cancel or reverse the associated commission in whole or in part according to the Programme rules and payment outcome.
If the affected commission has not yet been paid, AltoSale may reduce or cancel that commission.
If the commission has already been paid, AltoSale may record a corresponding negative adjustment against future Creator Partner earnings or seek repayment where reasonably necessary.
AltoSale maintains an auditable record of such adjustments.
10. Payouts
Creator Partners may request payout of available commission using the payout functionality and methods supported by AltoSale.
Only commission shown as available for payout is eligible to be requested.
Payouts may be processed separately by currency.
A payout request may reserve the eligible commission while it is being processed so the same commission cannot be withdrawn more than once.
Available payout methods, supported countries/currencies, processing times, minimum thresholds and other payout requirements may vary and will be communicated through AltoSale where applicable.
AltoSale does not guarantee that every payout method is available in every country.
You are responsible for supplying accurate payout information.
11. Taxes
Creator Partners are responsible for determining and satisfying their own tax, reporting, registration and similar obligations arising from payments received through the Programme, except to the extent applicable law requires AltoSale to deduct, withhold or report amounts.
AltoSale may request information reasonably required to satisfy legal, accounting, tax or payment-provider obligations.
12. Founding Creator Partner benefits
AltoSale may designate selected participants as Founding Creator Partners or provide other special Programme classifications.
Any special commission rate, promotional subscription access or other benefit is subject to the specific terms assigned to that Creator Partner.
Founding status does not guarantee earnings, sales, advertising spend, product promotion, Weekend Boost placement, traffic or any particular commercial result unless AltoSale expressly agrees otherwise in writing.
Any temporary free or promotional AltoSale subscription benefit expires according to its stated period.
A promotional Growth entitlement must not automatically create a paid subscription or charge the Creator Partner when the promotional period ends unless the Creator Partner separately authorises a paid subscription.
13. Marketing and disclosures
Creator Partners must market AltoSale honestly and must not make false, misleading, unsubstantiated or deceptive statements about AltoSale, its products, sellers, services, income opportunities or Programme.
You must clearly disclose your commercial relationship with AltoSale whenever required by applicable advertising, consumer-protection or endorsement rules.
Disclosures must be sufficiently clear and prominent for the audience and platform being used.
You are responsible for complying with advertising and endorsement requirements applicable to your content and audience, including applicable UK requirements and requirements in other jurisdictions where you promote AltoSale.
You must not claim that earnings are guaranteed or suggest that joining AltoSale guarantees financial success.
14. Prohibited promotion
You must not:
- send unlawful or unsolicited spam;
- impersonate AltoSale or its employees;
- falsely claim to be an AltoSale employee, agent or authorised representative;
- purchase or register misleading domains or social-media accounts designed to impersonate AltoSale;
- use deceptive advertising;
- make false earnings claims;
- create fake seller accounts;
- refer yourself through additional accounts;
- manipulate referral tracking;
- use bots or automated systems to generate artificial clicks, registrations or transactions;
- engage in illegal activity;
- knowingly promote AltoSale in connection with prohibited goods, services or activity;
- interfere with AltoSale's systems or attempt to circumvent fraud or eligibility controls.
15. Paid advertising
Creator Partners must comply with any advertising rules AltoSale publishes for the Programme.
Unless AltoSale provides written permission, Creator Partners must not run advertising that misleadingly represents itself as an official AltoSale advertisement or uses AltoSale trademarks in a manner likely to cause confusion regarding sponsorship or ownership.
AltoSale may introduce additional rules regarding paid search, trademark bidding, coupon advertising or other acquisition methods.
16. Intellectual property
AltoSale retains all rights in its trademarks, logos, software, website, brand assets and other intellectual property.
While you remain an approved Creator Partner, AltoSale grants you a limited, revocable, non-exclusive, non-transferable permission to use Programme-approved AltoSale branding solely to promote AltoSale in accordance with this Agreement and applicable brand guidelines.
You may not modify AltoSale branding in a misleading manner or suggest ownership of AltoSale intellectual property.
Permission ends when your participation in the Programme ends unless AltoSale agrees otherwise.
17. Creator content
You retain ownership of content you create, subject to any rights you separately grant to AltoSale.
Participation in the Programme does not automatically transfer ownership of your content to AltoSale.
If AltoSale wishes to reuse a Creator Partner's content beyond functionality or permissions already agreed, the appropriate licence or permission should be obtained.
18. Confidential information
You must not improperly disclose confidential non-public information provided to you by AltoSale in connection with the Programme.
Information that is already public, independently developed without use of confidential information, or lawfully obtained from another source without confidentiality restrictions is not confidential for this purpose.
19. Data protection and privacy
Personal information is handled in accordance with AltoSale's Privacy Policy and applicable data-protection requirements.
Creator Partners must not misuse personal information obtained through the Programme.
The Creator Partner dashboard provides only information reasonably necessary to administer referrals and commissions and must not be treated as permission to contact referred sellers outside the purposes permitted by AltoSale and applicable law.
20. Independent relationship
Participation in the Programme does not create an employment relationship, partnership, joint venture, franchise or general agency relationship between AltoSale and the Creator Partner.
Creator Partners operate independently and are responsible for their own business activities, expenses and obligations.
You do not have authority to enter into contracts on AltoSale's behalf or make commitments binding AltoSale unless AltoSale expressly authorises this in writing.
21. Programme monitoring and records
AltoSale may maintain records reasonably necessary to administer the Programme, including referral attribution, subscription payments, commission calculations, payouts, agreement acceptance and fraud-prevention information.
AltoSale's records may be used to investigate discrepancies, subject to applicable law and the Creator Partner's rights.
If you believe a commission or referral has been recorded incorrectly, contact AltoSale within a reasonable period after becoming aware of the issue.
22. Suspension
AltoSale may suspend a Creator Partner account or Programme privileges while investigating suspected fraud, security issues, legal violations, payment disputes or material breaches of this Agreement.
Suspension may prevent new referrals, new commissions or payouts where reasonably necessary while an investigation is underway.
Suspension does not automatically erase valid commission already earned before suspension.
23. Termination
Either party may end participation in the Programme subject to this Agreement.
AltoSale may terminate participation immediately for fraud, deliberate abuse, serious misconduct, unlawful activity, material misrepresentation or other material breach.
For ordinary termination not involving fraud or material breach, treatment of previously earned commission follows the applicable Programme terms and status of those commissions.
Termination does not entitle a Creator Partner to commission on transactions that are not otherwise eligible under this Agreement.
Provisions that by their nature should survive termination — including payment adjustments, confidentiality, intellectual-property restrictions, liability provisions, dispute provisions and accrued rights — continue to apply.
24. Changes to the Programme
AltoSale may modify the Programme, available benefits, commission terms for future referrals or other Programme features.
AltoSale will not silently rewrite the historical agreement version recorded as accepted by a Creator Partner.
Where a material change requires acceptance of a new agreement version, AltoSale may require the Creator Partner to review and affirmatively accept the new version before continuing to participate or receive new Programme benefits.
Changes to commission terms should not retroactively alter commission terms already validly snapshotted for an existing qualifying referral unless required by law, necessary to correct an error or fraud, or expressly agreed with the Creator Partner.
25. No guarantee of earnings
AltoSale does not guarantee that a Creator Partner will receive clicks, registrations, customers, subscriptions, commissions, payouts, sales, traffic or any particular level of earnings.
Any examples, illustrations or historical results are not promises of future performance.
26. Availability and changes to services
AltoSale may change, update, suspend or discontinue features of the platform or Programme where reasonably necessary for operational, security, legal or commercial reasons.
AltoSale does not guarantee uninterrupted or error-free availability.
27. Liability
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.
Subject to applicable law, neither party will be liable to the other for indirect or consequential losses that were not reasonably foreseeable, except where such exclusion is prohibited by law.
28. Indemnity
To the extent permitted by applicable law, you are responsible for losses, claims or reasonable costs resulting from your unlawful promotion, material breach of this Agreement, infringement of third-party rights, fraudulent activity or content/actions for which you are legally responsible.
This provision does not require you to indemnify AltoSale for losses caused by AltoSale's own unlawful conduct to the extent such exclusion would be unenforceable.
29. Notices and communications
AltoSale may send Programme-related communications to the email address associated with your account or through the AltoSale platform.
You are responsible for maintaining accurate contact information.
Creator Partners may contact AltoSale using the official contact details displayed on AltoSale's website or in the Programme interface.
30. Entire agreement
This Agreement, together with the applicable Creator Partner terms displayed or assigned to your account and any policies expressly incorporated into it, constitutes the agreement governing participation in the Creator Partner Programme.
If there is a conflict between general AltoSale platform terms and specific Creator Partner Programme terms concerning Creator Partner commissions or referrals, the specific Creator Partner terms govern that issue to the extent stated by AltoSale and permitted by law.
31. Severability
If a provision of this Agreement is found invalid or unenforceable, the remaining provisions continue in effect to the extent permitted by law.
32. No waiver
Failure to enforce a provision immediately does not necessarily waive the right to enforce that provision later.
33. Assignment
Creator Partners may not transfer or assign their rights or obligations under this Agreement without AltoSale's prior written consent.
AltoSale may transfer its rights and obligations as part of a genuine corporate restructuring, sale, merger or transfer of the relevant business, subject to applicable law.
34. Governing law and jurisdiction
This Agreement is governed by the laws of England and Wales. Each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute or claim arising out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes or claims).
35. Electronic acceptance
Checking the agreement checkbox and submitting the Creator Partner application constitutes electronic acceptance of this Agreement.
AltoSale will maintain an electronic record of the agreement version and acceptance associated with the application/account.
You should retain a copy of this Agreement for your records.
